HOWDY TERMS OF SERVICE
Effective Date: January 5, 2026
These Terms of Service (“Terms”) govern your access to and use of the Howdy platform, including the website, mobile applications, QR codes, profiles, and related services (collectively, the “Platform”). By accessing or using Howdy, you agree to be bound by these Terms.
If you do not agree, do not use the Platform.
1. ELIGIBILITY
You must be 18 years of age or older to create an account, claim a profile, or receive tips through the Platform.
By using Howdy, you represent and warrant that you meet this age requirement.
Minors may not create accounts or receive payments through Howdy.
Recognition of minors may occur only through employer-managed profiles, subject to additional restrictions described in these Terms.
2. WHO THESE TERMS APPLY TO
These Terms apply to all users of the Platform, including:

Providers: Individuals or businesses with profiles that receive public recognition and, where enabled, optional tips.

Customers: Individuals who submit recognition, private feedback, concerns, or optional tips.
All users are subject to the same baseline obligations regarding lawful use, accuracy, and conduct.
3. PLATFORM ROLE & LIMITATIONS
Howdy is a recognition and discovery platform. It is not:

A recognition site
-
A payment processor
-
An employer or staffing agency
-
A booking, escrow, or financial institution
Specifically:

Howdy does not process, hold, or transfer funds.

All tips or payments are handled by third-party providers subject to their own terms.

Tips are optional and voluntary.
-
Howdy does not guarantee service outcomes, performance, or suitability.
-
Use of Howdy does not create an employment, agency, partnership, or contractor relationship between users or with Howdy.
4. ACCOUNT CREATION & IDENTITY REPRESENTATION
When creating an account or claiming a profile, you agree that:

You may create an account only for yourself.

You will not impersonate another person or entity.

All information you provide is accurate and current.
-
You will not create duplicate, misleading, or deceptive accounts.

You will not allow another person to use your account.
Howdy may use third-party services to verify identity attributes for certain features.
Submission of false or misleading information may result in suspension, restriction, or removal.
Howdy does not store or display government-issued identification documents within the Platform.
5. PROVIDER PROFILES
Providers are solely responsible for the accuracy and content of their profiles.
Provider profiles must:

Accurately represent the individual or business

Comply with all Platform content standards
-
Avoid misleading, unlawful, or offensive material
Providers control whether tipping is enabled on their profiles.
Howdy does not require Providers to accept tips.
Recognition increases visibility on the Platform.
Howdy may restrict or remove visibility for safety, trust, or policy reasons.
6. RECOGNITION, FEEDBACK & USER CONTENT
Howdy allows users to submit public recognition, private improvement feedback (where enabled by the Provider), and concern reports (collectively, “User Content”).
By submitting User Content, you agree that:

Your submission is truthful to the best of your knowledge

You will not harass, threaten, defame, or abuse others

You will not submit discriminatory, sexual, or hateful content
-
You will not disclose private, sensitive, or confidential information
Recognition is public and associated with a Provider profile.
Private feedback is visible only to Providers who have opted in.
Concern reports are private and recognized by Howdy.
Howdy may moderate, restrict, remove, or limit User Content or profile visibility at its discretion to maintain trust and safety.
User Content reflects the views of the submitting user and not of Howdy.
7. REPORTING CONCERNS & SAFETY
Customers may report concerns related to safety, harm, fraud, or serious service issues.
Concern reports:

Are private
-
Are recognized by Howdy
-
Are not displayed publicly
Howdy may temporarily or permanently restrict a profile’s visibility while concerns are recognized.
Howdy is not required to disclose investigative outcomes.
8. PAYMENTS, TIPS & TAXES
Tips are optional and voluntary.
Howdy does not collect, hold, or distribute funds.
Payment processing is handled entirely by third-party providers subject to their own terms.
Providers are solely responsible for any tax obligations related to tips or payments received.
Howdy is not responsible for payment disputes, chargebacks, processing errors, or payout delays.
Minors are not eligible to receive tips through the Platform.
9. PROHIBITED CONDUCT
You agree not to:

Impersonate any person or organization

Create accounts for others
-
Submit false or misleading recognition
-
Engage in harassment, abuse, or stalking
-
Attempt to manipulate visibility or reputation signals
-
Circumvent Platform safeguards
-
Use the Platform for unlawful purposes
Violations may result in suspension, restriction, or permanent removal.
10. PRIVACY & LOCATION
Howdy respects user privacy.
Location sharing is optional and controlled by the user.
Exact real-time location is not publicly displayed.
Use of the Platform is governed by the Howdy Privacy Policy.
11. TERMINATION
Howdy may suspend, restrict, or terminate access to the Platform at any time for violations of these Terms, safety concerns, or legal obligations.
You may stop using the Platform at any time.
12. DISCLAIMERS
THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.
Howdy disclaims all warranties, express or implied, including fitness for a particular purpose and non-infringement.
13. LIMITATION OF LIABILITY
To the maximum extent permitted by law:

Howdy shall not be liable for indirect, incidental, or consequential damages.

Howdy is not liable for user conduct, User Content, or third-party services.
14. CHANGES TO TERMS
Howdy may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the updated Terms.
15. GOVERNING LAW
These Terms are governed by the laws of the jurisdiction in which Howdy operates, without regard to conflict-of-law principles.
